We are pleased to welcome Users to participate in WePlay leagues, tournaments, and other organised competitions. Prior to accessing or using any WePlay services, including the App, website, or official competitions, Users are required to read and understand these Terms and Conditions carefully. This document constitutes a legally binding agreement between the WePlay Organisation and each User, governing all aspects of participation, conduct, and use of the platform.

To promote transparency and clarity, these Terms are structured to provide a concise overview of key provisions, followed by the full, legally enforceable terms. Users acknowledge that by registering, accessing, or participating in any WePlay service, they accept and agree to be bound by all provisions herein, including any future amendments or updates communicated through official WePlay channels. Compliance with these Terms is a prerequisite for participation and continued access to all WePlay services.

1. Introduction

WePlay is an international platform that organises and manages structured leagues and tournaments across multiple sports. Its mission is to provide fair, skill-based competition for Players of all levels while fostering a strong social and community-oriented environment for all Users. WePlay promotes engagement, camaraderie, and sportsmanship, offering opportunities for Players to connect, share experiences, and develop meaningful friendships alongside competitive play. These Terms and Conditions govern all aspects of participation in WePlay competitions, including league Matches, tournaments, and related activities.

WePlay is operated by Jugendstil SLU (tax ID no. L-715997-Y), a company incorporated under the laws of Andorra, with its registered office at La Ribagrossa 1, -1D AD100 Canillo Andorra ("we," "our," or "us"). By downloading, accessing, or using the WePlay App, whether via mobile, web platform or API, a User expressly agrees to be bound by these Terms and Conditions and acknowledges that continued use constitutes acceptance of any modifications or updates issued by the WePlay Organisation. Users who do not agree to these Terms must refrain from using the App or participating in any WePlay competitions.

2. Definitions

WePlay or Organiser The governing authority responsible for administering leagues, tournaments, Matches, and all related activities. It enforces the Terms and Conditions, manages rankings and WePlay Skill Levels (WSL), schedules Matches, resolves disputes, and communicates official information to Users.
App The official WePlay mobile, web application or API, including all interfaces, features, and services provided by the WePlay Organisation.
Player Any individual or team registered to participate in a WePlay league, tournament, or Match. Players must comply with these Terms and Conditions and are responsible for their conduct, safety, and adherence to league rules.
User Any individual who registers with, accesses, or interacts with the WePlay App, including Players, spectators, or other participants, and who is bound by these Terms and Conditions.
Match Any officially scheduled competition between two or more players, played according to league rules. Matches may be conducted in-person or virtually, depending on the sport.
Round A period or sequence of matches forming a discrete phase of the league, with a predetermined start and end date.
Ranking A positional evaluation of a player within a specific league for the current season. Rankings reset each season relative to the player's WePlay Skill Level (WSL) to ensure fair matchmaking.
WePlay Skill Level (WSL) A dynamic, Elo-based score that reflects a Player's overall skill across all competitions. The WSL evolves continuously after each Match, independently of league-specific rankings.

3. General Provisions

3.1 Applicability

These Terms and Conditions govern the participation of all Players, Matches, and leagues administered by the WePlay Organisation. Participation in any WePlay competition, including league or tournament Matches, constitutes full and unconditional acceptance of, and agreement to comply with, these Terms and Conditions in their entirety. Users acknowledge that compliance with these Terms is a prerequisite for participation and that failure to adhere may result in sanctions, restrictions, or exclusion from WePlay activities.

3.2 Compliance and Conduct

Players are required to conduct themselves with the highest standards of integrity, fairness, and respect toward opponents, officials, other Users, and the WePlay Organisation. Players are solely responsible for ensuring their personal safety and for confirming that all venues, equipment, and conditions are suitable and meet applicable legal and safety requirements. Any breach of these Terms and Conditions, including but not limited to unsportsmanlike behaviour, cheating, manipulation of results, or repeated failure to complete Matches, may result in sanctions imposed by the WePlay Organisation, including warnings, loss of ranking points, suspension, or Disqualification.

3.3 Modification of Terms

WePlay reserves the right, at its sole discretion, to amend, revise, or update these Terms and Conditions at any time. Updates will be communicated to Users through official WePlay channels, including the App, website, or email notifications, and shall take effect immediately upon publication. Users are responsible for regularly reviewing the current Terms and Conditions and acknowledging that continued participation constitutes acceptance of any modifications. Failure to comply with the updated Terms may result in suspension or termination of access to the App or associated services.

4. League Structure

4.1 Objective

WePlay leagues are designed to facilitate fair, skill-appropriate competition while fostering social interaction, community engagement, and skill development among Users. Leagues provide a structured environment for transparent rankings, competitive balance, and meaningful connections between Players. Each league operates within clearly defined start and end dates, and additional league-specific rules may be applied at the discretion of the WePlay Organisation. Users acknowledge that adherence to these rules is mandatory for participation.

4.2 Participation Requirements

All Users must register using their full legal name. The use of pseudonyms, nicknames, or any form of alias is strictly prohibited to ensure transparency, accountability, and the integrity of competition. Users must actively participate in the minimum number of Matches required per round or season, as specified by their respective league. Failure to meet participation requirements without valid justification may result in the loss of ranking points, temporary suspension, or Disqualification from the league. Users are responsible for maintaining accurate registration information and for promptly updating any relevant details in their WePlay account to remain eligible for participation.

4.3 Initial League Placement

At the commencement of each season, league rankings are created from the ground up based on a combination of objective and qualitative criteria designed to group Players of approximately equal skill. In establishing initial rankings, the WePlay Organisation may consider historical Match results, verified assessments from qualified coaches, Player self-assessments, and other relevant performance indicators. While all efforts are made to ensure accurate and balanced placement to promote fair and enjoyable competition, Users have no entitlement to request or demand a specific ranking position.

4.4 Ranking Reset

League rankings are reset at the start of each season relative to each Player's current WePlay Skill Level (WSL) to maintain equitable matchmaking and competitive balance across all divisions. The WSL provides a dynamic measure of Player performance and is used to align Users with opponents of comparable skill. Users acknowledge that seasonal ranking resets are standard practice and are integral to the fairness and integrity of the league system.

4.5 No Ranking Demand

Players are not permitted to dispute or demand a particular ranking position, except in cases of verified administrative errors or confirmed technical inconsistencies within the WePlay system. Rankings are determined solely based on Match results, WSL, and applicable league-specific rules.

4.6 WePlay Skill Level (WSL)

The WePlay Skill Level (WSL) is a dynamic, Elo-based scoring system that reflects a Player's ongoing performance across all WePlay competitions. The WSL influences initial league placement, matchmaking balance, and progression between divisions. Significant fluctuations in a Player's WSL during a season may result in reclassification, eligibility adjustments, or other measures determined by the WePlay Organisation to ensure continued fair and balanced competition. Users acknowledge that WSL adjustments are final and binding unless a verifiable technical error is identified.

5. Match Organisation

5.1 Match Scheduling

Unless otherwise specified in league-specific rules, all Matches for each round will be drawn and published no later than one day following the conclusion of the preceding round. The WePlay Organisation reserves the sole discretion to modify, adjust, or amend published round dates in the interest of fairness, competitive balance, or operational requirements. Users acknowledge that published schedules are binding unless formally updated by the WePlay Organisation.

5.2 Match Scheduling Responsibilities

Players are permitted to mutually agree upon the specific date and time for their Matches. Notwithstanding such agreements, all Matches must be completed within the designated round period as determined by the WePlay Organisation. Compliance with the round schedule is mandatory, and failure to complete a Match within the prescribed timeframe may result in a Walkover or other sanctions in accordance with these Terms and Conditions.

5.3 Challenger Responsibility

It is the responsibility of the lower-ranked Player (challenger) to initiate timely communication with the higher-ranked Player (challenged) to arrange the date and time of the Match. For rounds with a one-month duration, the challenger must contact the challenged Player no later than the 10th day of the month. Failure to do so grants the challenged Player the right to record the Match as a victory by Walkover. Users acknowledge that adherence to this procedure is essential for maintaining fair competition and accurate record-keeping.

5.4 Grace Period

Matches are expected to commence promptly at the agreed-upon time. A grace period of fifteen (15) minutes is permitted to accommodate minor, unforeseen delays. Any Player failing to appear within the grace period without valid justification may forfeit the Match by Walkover. This provision ensures that punctual Players are not unduly penalised while allowing a reasonable allowance for minor scheduling or travel delays.

5.5 Venue and Equipment

Matches must be conducted in a safe and suitable venue. All equipment, including courts, nets, and balls, must be approved by both Players prior to the commencement of the Match. Balls must be of good quality, and Players are expected to mutually agree on their selection. In the event of a disagreement, Players may rent balls from the venue or club. Court rental costs are to be shared equitably by both Players, and each Match should allow for a minimum duration of one hour of play. Matches may be held on any court mutually agreed upon by the Players, subject to compliance with safety and league regulations.

5.6 Rescheduling

Matches may only be rescheduled with the mutual consent of both Players, provided that at least twenty-four (24) hours' notice is given. It remains the responsibility of the Players to coordinate and arrange alternative dates and times. Failure to comply with rescheduling obligations or to provide proper notice may result in sanctions, including but not limited to Walkover, loss of ranking points, or temporary suspension, in accordance with WePlay Terms and Conditions.

5.7 Incomplete Matches

If a Match cannot be completed due to circumstances beyond the control of the Players - such as court time expiring, the court lights being turned off, or weather conditions making play unsafe - the Players have until the end of the current round to resume and complete it.

At the end of the round, any Match that remains incomplete will be recorded with the score as it stood when play was stopped.

Alternatively, both Players may agree not to submit the Match result, in which case it will not be recorded.

If play is stopped due to a Player's personal reasons - such as injury, illness, or fatigue - the score at the time of interruption must be entered and marked as a Retirement (R/T) result.

6. Match Conduct

6.1 General Conduct

Players are required to conduct themselves with integrity, fairness, and respect during all Matches. This includes showing courtesy toward opponents, officials, and any representatives of the WePlay Organisation. Unsportsmanlike behaviour, harassment, aggressive actions, or offensive language is strictly prohibited. Users acknowledge that compliance with these standards is essential to preserving the social and competitive integrity of the WePlay platform.

6.2 Match Scheduling Responsibilities

Players are solely responsible for ensuring that Matches are conducted under safe and acceptable conditions. This includes confirming that the venue and equipment meet safety and operational standards. Players must respect the rules and regulations of the selected venue, and any incident, injury, or accident occurring during a Match must be promptly reported to the WePlay Organisation.

6.3 Post-Match Obligations

After the conclusion of a Match, it is the responsibility of the winning Player to accurately submit the official result through the WePlay App or web platform. Both Players are expected to confirm the outcome and cooperate in resolving any discrepancies. Any behaviour intended to manipulate, falsify, or delay result submission may constitute a violation of these Terms and Conditions and may result in sanctions, including Disqualification, loss of ranking points, or suspension.

6.4 Compliance with League Rules

Players must comply with all applicable league-specific rules, including Match duration, equipment requirements, and participation obligations. The WePlay Organisation reserves the right to intervene, adjust, or reschedule Matches if violations occur, if disputes arise, or if circumstances compromise the fairness, safety, or integrity of the competition.

7. Result Reporting

7.1 Result Submission

It is the responsibility of the winning Player to submit the official result of a Match using the WePlay App or the designated web platform. Players are strongly encouraged to submit scores immediately upon completion of the Match to ensure accuracy, timeliness, and proper recording in league standings and WePlay Skill Level (WSL) calculations. Scores submitted after the official conclusion of a round may be disregarded at the sole discretion of the WePlay Organisation. Users acknowledge that accurate and timely submission of results is essential for maintaining the integrity of league rankings and advancement procedures.

7.2 Result Types

All Matches must be classified under one of the following result types, which determine the recording of points, WSL adjustments, and potential disciplinary consequences:

  • A Regular (REG) result applies when a Match is completed fully under normal conditions without interruption. Points, ranking adjustments, and WSL updates are applied according to the league's established scoring system.
  • A Disqualification (D/Q) result occurs when a Player is found to have violated these Terms and Conditions, engaged in misconduct, cheated, or otherwise acted in a manner that undermines the integrity of the competition. In such cases, the opponent is awarded the Match, and additional disciplinary measures may apply.
  • A Retirement (R/T) result occurs after a Match has commenced, defined by at least one point or play having been completed, when a Player is unable or unwilling to continue. The opponent is awarded the Match, and WSL adjustments are applied according to league rules.
  • A Walkover (W/O) result occurs when a Player fails to appear or otherwise participate before the start of a Match. The opponent is automatically awarded the Match, and no points are recorded for the absent Player.

A Forfeit refers to any voluntary or involuntary renunciation of a Match or round without completion, including certain Retirements or Walkovers, depending on the timing and circumstances. Forfeits are recorded in accordance with league-specific rules and may affect WSL calculations, ranking points, and eligibility for future rounds or competitions.

Users acknowledge that the WePlay Organisation reserves the right to review, verify, and adjust all reported results to ensure compliance with these Terms and Conditions and the integrity of the league.

8. Rankings and Advancement

8.1 League Rankings

League rankings are specific to each league and are recalculated at the beginning of every season based on each Player's WePlay Skill Level (WSL). Rankings are intended to reflect the relative skill, performance, and results of Players within a given league. All rankings are updated following the completion of officially recorded Matches in accordance with the procedures established by the WePlay Organisation. Users acknowledge and accept that rankings are dynamic and may fluctuate throughout the season as new results are recorded and evaluated.

8.2 Advancement

Advancement, promotion, or relegation between divisions, tiers, or competitive groups is determined primarily by end-of-season league rankings and the performance of a Player as measured by their WSL. League-specific rules, including minimum match participation requirements, tie-breaking criteria, and other performance metrics, may also influence a Player's placement in subsequent seasons. The WePlay Organisation reserves the right to apply such rules at its sole discretion to ensure fair, balanced, and competitive matchups.

8.3 Transparency and Ranking Rights

All rankings are fully transparent and publicly accessible to Users within the WePlay platform. Users acknowledge and agree that rankings are determined solely based on Match results, WSL, and applicable league-specific rules. Players have no entitlement or legal right to demand a specific ranking position or placement within a league. The purpose of the ranking system is to facilitate equitable and skill-appropriate competition, not to serve as a guarantee of position, reward, or preferential treatment.

9. Eligibility

9.1 General Eligibility

All Users must register with accurate and verifiable personal information, including their full legal name, date of birth, and valid contact details. Registration under pseudonyms, nicknames, or false information is strictly prohibited.

A User must be at least thirteen (13) years of age, or meet the minimum age of digital consent in their jurisdiction, to access or use the WePlay App. Users under eighteen (18) years of age must obtain verifiable consent from a parent or legal guardian prior to using the App. By accessing or using the App, a User represents and warrants that they meet all applicable eligibility requirements and have provided truthful and accurate information.

9.2 Verification and Validation

To preserve the integrity and fairness of the competition, the WePlay Organisation reserves the right to verify the identity, age, and eligibility of any User at any time. WePlay may request the submission of official identification or documentation to validate a User's information, such as:

  • A club membership pass containing a clear photograph of the User; or

  • A club-issued membership confirmation letter bearing the User's full name and membership details.

The WePlay Organisation may, at its sole discretion, accept alternative forms of verification if necessary to establish a User's identity or eligibility. Users who fail or refuse to provide adequate verification within the requested timeframe may be subject to temporary suspension, removal from active league participation, or permanent disqualification.

9.3 Age Restrictions

Certain leagues may impose additional minimum or maximum age requirements. Users are required to comply with all age-related eligibility criteria as established and communicated by the WePlay Organisation. Failure to meet such criteria may result in denial of participation, removal from the league, or adjustment of ranking status.

9.4 Player Status and Participation Obligations

Players are responsible for maintaining active and consistent participation throughout the duration of a season. Users must comply with the minimum participation requirements as established by the league rules. Failure to meet such requirements without valid justification may result in sanctions, including but not limited to loss of ranking points, temporary suspension, or permanent disqualification from the league.

10. Code of Conduct

10.1 Sportsmanship

All Players shall conduct themselves with integrity, respect, and courtesy toward opponents, officials, league organisers, and the WePlay Organisation. Harassment, intimidation, offensive language, discriminatory remarks, unsporting behaviour, or any form of aggression is strictly prohibited and may result in disciplinary measures, including warnings, loss of ranking points, suspension, or disqualification.

10.2 Fair Play

Players are required to compete honestly and in good faith at all times. Actions intended to manipulate match results, exploit procedural or regulatory loopholes, deceive opponents or officials, or gain an unfair advantage are strictly prohibited. Compliance with the spirit of fair competition is mandatory, and breaches will be subject to investigation and sanctions as determined by the WePlay Organisation.

10.3 Reporting Violations

Players are encouraged to report any observed violations of the Code of Conduct or related Terms and Conditions to the WePlay Organisation through the official App reporting tools or via email. All reports must include accurate, verifiable, and comprehensive information, including the identities of involved parties, dates, times, and any supporting evidence. False or misleading reports may themselves constitute a violation and may be subject to disciplinary action.

11. Cheating and Match Manipulation

Any attempt to cheat, manipulate match results, or otherwise circumvent these Terms and Conditions is strictly prohibited. Cheating includes, but is not limited to, deliberately losing, throwing, or altering the outcome of a Match, colluding with other Players to influence results or rankings, exploiting loopholes, technical errors, or procedural inconsistencies to gain an unfair advantage, falsifying or submitting fraudulent Match results or scores, and tampering with equipment, facilities, or digital systems to affect the outcome of a Match.

Confirmed violations of these provisions may result in severe sanctions, including disqualification from a Match, round, or league, the loss of ranking points or adjustments to the WePlay Skill Level (WSL), temporary or permanent suspension from participation in future Matches or leagues, or a permanent ban from accessing the WePlay App or platform.

The WePlay Organisation reserves the exclusive right to investigate any suspected breaches, request supporting information or evidence from involved Users, and determine appropriate disciplinary measures at its sole discretion. Users are obligated to cooperate fully with any such investigation, and failure to do so may itself constitute a violation of these Terms and Conditions.

12. Appeals and Conflict Resolution

12.1 Resolving Conflicts

In the event that a conflict arises between two Users, they are strongly encouraged to attempt to resolve the matter independently by referring to these Terms and Conditions. Users acknowledge that the WePlay ranking system and WePlay Skill Level (WSL) are designed solely to facilitate skill-based matchmaking and are not intended to serve as a mechanism for competitive enforcement or adjudication. All interactions during dispute resolution should be conducted in a courteous, respectful, and cooperative manner, reflecting the social and community-oriented purpose of the WePlay platform.

If the conflict cannot be resolved independently, Users may submit a formal dispute notification to the WePlay Organisation via the official App channels or by email. The submission must include sufficient information to allow WePlay to assess the matter accurately. WePlay will refer to the Terms and Conditions for guidance and may contact both Users to facilitate resolution, mediate discussions, or provide recommendations to reach an equitable outcome.

12.2 Appeal Contents

All formal appeals must include the full legal names of the Users involved, the date and round of the relevant Match, the Match result in dispute, a detailed and factual explanation of the issue, and any evidence or supporting documentation that substantiates the claim. Users are expected to provide complete and truthful information; WePlay cannot adjudicate disputes based on incomplete, inaccurate, or misleading submissions.

WePlay reserves the right, at its sole discretion, to determine the validity of any appeal, the appropriate method of resolution, and any corrective or disciplinary actions deemed necessary. Cooperation by the Users in providing requested information or clarification is mandatory, and failure to comply may itself result in sanctions or rejection of the appeal.

13. Intellectual Property

All content, features, and functionality accessible via the WePlay Website and App, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (collectively, the "Content"), are the exclusive property of WePlay, its affiliates, licensors, or other content providers and are protected under applicable international copyright, trademark, patent, trade secret, and other proprietary rights laws.

Subject to compliance with these Terms and Conditions, Users are hereby granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and App solely for personal, non-commercial purposes. No other rights or licences, whether express or implied, are granted with respect to the Content.

Users shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or otherwise transmit any portion of the Content, except as expressly permitted herein, including:

  • Temporary caching or storage by a User's device that is incidental to access and viewing of the Content.

  • Storage of files automatically cached by a web browser for display enhancement purposes.

  • Printing or downloading a single copy of a reasonable number of pages for personal, non-commercial use, provided such copy is not further reproduced, published, or distributed.

By submitting any content to the WePlay App, Users hereby grant WePlay a worldwide, non-exclusive, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and otherwise exploit such content in connection with the operation, promotion, and provision of the App and its services, in any media now known or hereafter developed, for the full term of applicable intellectual property rights.

The WePlay name, logo, and all associated names, logos, product and service names, designs, and slogans constitute trademarks of WePlay or its affiliates or licensors. Users shall not use such trademarks without the prior express written consent of WePlay, which may be obtained by contacting its legal department at [email protected].

14. Media Rights

WePlay reserves the right to capture, record, photograph, or otherwise document Matches, events, or related activities conducted through the App or at affiliated venues (collectively, "Media"). By participating in any Match, round, or related activity, Users irrevocably consent to the collection, use, reproduction, distribution, publication, and display of their image, likeness, voice, performance, and other identifying characteristics (collectively, "User Content") in connection with such Media.

Such Media may be used by WePlay, its affiliates, licensees, or partners for promotional, educational, advertising, marketing, or any other lawful purposes, across any media format or platform, whether now known or hereafter developed, without any compensation or further consent from Users.

Users represent and warrant that they have the authority to grant these rights and that the use of their image or performance as described herein does not infringe on any third-party rights.

All Media use will comply with applicable privacy laws and WePlay's Privacy Policy. Users retain any ownership rights in their personal content not submitted to WePlay; however, the rights granted herein to WePlay are perpetual, worldwide, irrevocable, royalty-free, fully sublicensable, and transferable.

15. Health and Safety

Users acknowledge and agree that participation in Matches or any activity associated with the WePlay platform involves inherent risks, including but not limited to physical injury, illness, or property damage. Users are solely responsible for their own health, safety, and well-being at all times during such activities.

Users must comply with all applicable laws, regulations, venue rules, and any instructions provided by officials, organisers, or venue staff. Users are expected to assess the suitability of the playing environment, equipment, and conditions prior to participation.

By participating, Users acknowledge that WePlay assumes no liability for personal injury, illness, or property damage arising from participation in Matches, except to the extent expressly provided under applicable law. Users are encouraged to maintain appropriate health, safety, and insurance coverage where necessary.

16. Use of the App

Users acknowledge and agree to use the WePlay App solely for lawful purposes and in strict compliance with these Terms and Conditions. Users shall not access, use, or interact with the App in any manner that could damage, disable, overburden, or otherwise impair the functionality, security, or operation of the App, its servers, or any associated systems.

Users shall not engage in any fraudulent, abusive, harassing, threatening, defamatory, or otherwise harmful conduct. This includes, without limitation, impersonating any other person or entity, including other Users or WePlay personnel, attempting to disrupt the operation of the App or the experience of other Users, transmitting malicious software, viruses, or other code intended to interfere with the operation or integrity of the App, or attempting to copy, modify, reverse-engineer, decompile, disassemble, or exploit any part of the App or its Content without the prior express written authorisation of the WePlay Organisation.

The App may contain links, references, or access points to third-party content, websites, or services ("Third-Party Content"). Such links are provided solely for the convenience of Users. WePlay does not control, endorse, or assume any responsibility for the availability, accuracy, reliability, legality, or practices of any Third-Party Content. Users acknowledge and agree that accessing, using, or interacting with any Third-Party Content is entirely at their own risk, and Users remain responsible for complying with any terms, conditions, or rules applicable to such content.

WePlay reserves the exclusive right, in its sole discretion, to suspend, restrict, or terminate access to the App, or any part thereof, for Users who violate these Terms and Conditions, engage in unlawful conduct, or otherwise compromise the security, integrity, or operation of the App. Such actions may be taken without prior notice, and Users shall have no claim against WePlay arising from any such suspension, restriction, or termination.

17. Accounts and Security

Certain features of the WePlay App may require the creation of a user account. Users agree to provide accurate, complete, and up-to-date information during registration and to promptly update any information that changes. Registration under false names, pseudonyms, or misleading information is strictly prohibited and may result in suspension or termination of account access.

Users are solely responsible for maintaining the confidentiality and security of their login credentials, including usernames, passwords, and any other authentication information. Users must not share their login credentials or permit any third party to access or use their account. All activities conducted through a User's account, whether authorised or unauthorised, shall be deemed the responsibility of the account holder.

Users must immediately notify WePlay if they suspect any unauthorised access, security breach, or misuse of their account. WePlay shall not be liable for any loss, damage, or liability arising from unauthorised access to, or use of, a User's account resulting from the User's failure to safeguard their credentials. Users acknowledge and agree that WePlay may take actions it deems necessary to protect account security, including suspending or restricting access to accounts suspected of compromise.

18. Purchases, Subscriptions, and Payments

Certain features, content, or services within the WePlay App may require payment. All payments are processed through third-party platforms, including the Apple App Store, Google Play, or Stripe, and are subject to the terms, conditions, and policies of those respective platforms. Users acknowledge and agree that WePlay does not control the payment processing systems of these third-party providers and is not responsible for their operation, errors, or policies.

All purchases made within the WePlay App are final and non-refundable, except where refunds are mandated by applicable law or explicitly provided under the refund policies of the relevant payment platform. Users are responsible for reviewing the terms and conditions of the payment platform and for ensuring that any purchases or subscriptions are authorised and legitimate.

Subscription services offered through the App automatically renew at the end of each subscription period unless cancelled by the User prior to the renewal date. Users are solely responsible for managing, modifying, or cancelling subscriptions in accordance with the procedures established by the applicable platform. Any failure to cancel a subscription prior to renewal does not entitle the User to a refund or credit for the subsequent subscription period.

By making a purchase or subscribing to any service within the WePlay App, Users acknowledge and agree to these terms and assume all responsibility for compliance with the payment and subscription policies outlined herein.

19. Privacy

The use of the WePlay App is governed by the WePlay Privacy Policy, which sets forth in detail how personal data is collected, processed, stored, and protected in accordance with Andorra's Qualified Law 29/2021 on the Protection of Personal Data (LQPD) and any other applicable data protection laws. Users acknowledge that, in order to access and use certain features of the App, WePlay must collect and process personal information, including but not limited to registration data, contact information, age, payment information, and activity logs.

By using the WePlay App, Users expressly consent to the collection, processing, transfer, and storage of their personal data as described in the Privacy Policy. Users further acknowledge that such data may be used to operate and maintain the App, provide services, communicate with Users regarding Matches, leagues, and App updates, and for internal business purposes, including analytics, improvements, and fraud prevention.

Users are responsible for ensuring that all information provided to WePlay is accurate, complete, and up-to-date. WePlay implements reasonable technical and organisational measures to protect personal data against unauthorised access, loss, alteration, or disclosure. However, Users acknowledge that no method of data transmission or storage over the Internet can be guaranteed to be completely secure.

The Privacy Policy forms an integral part of these Terms and Conditions. Users are encouraged to review the Privacy Policy regularly to understand their rights, obligations, and the measures taken by WePlay to protect personal data.

20. Termination and Suspension

WePlay reserves the right, at its sole discretion, to suspend, restrict, or terminate a User's access to the App, or any portion thereof, at any time and without prior notice, in the event of a violation of these Terms and Conditions, engagement in unlawful or prohibited conduct, or behaviour deemed detrimental to the WePlay community, other Users, or the integrity of the App and its services.

Upon termination or suspension, all rights granted to the User under these Terms and Conditions shall immediately cease, including the right to access or use the App, participate in Matches, or receive any associated services. Users acknowledge that WePlay shall have no liability to any User or third party arising from such suspension, restriction, or termination.

WePlay may, at its discretion, retain certain information associated with the terminated account as required to comply with legal obligations, resolve disputes, enforce these Terms, prevent fraud, or protect the rights, property, or safety of WePlay, its Users, or the public. Termination of a User account does not release the User from obligations or liabilities incurred prior to the termination.

21. Disclaimers and Limitation of Liability

The WePlay App and all services, features, and content provided therein are offered on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

WePlay does not warrant that the App will be uninterrupted, error-free, secure, or free from viruses, malware, or other harmful components. Users acknowledge that their use of the App is at their sole risk and that WePlay does not guarantee the accuracy, completeness, reliability, or availability of any information or services provided through the App.

To the fullest extent permitted by applicable law, WePlay, its affiliates, officers, employees, agents, and licensors disclaim all liability for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages, including, without limitation, damages for loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with: (i) the use or inability to use the App; (ii) reliance on any content, information, or services provided through the App; (iii) any errors, omissions, interruptions, defects, or delays in operation; or (iv) any unauthorised access to or alteration of data or content.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the scope of the disclaimers and limitations above shall be interpreted to the maximum extent permitted by law, and WePlay's liability shall be limited to the extent legally permissible.

22. Indemnification

Users agree to indemnify, defend, and hold harmless Jugendstil, SLU, its affiliates, officers, directors, employees, and agents from and against any and all claims, actions, demands, liabilities, losses, damages, fines, penalties, or expenses, including reasonable legal fees and costs, arising out of or in connection with: the User's access to or use of the WePlay App; any violation of these Terms and Conditions; any violation of applicable laws, regulations, or third-party rights, including intellectual property rights; or any misrepresentation, omission, or inaccuracy in the information provided by the User through the App.

Users further agree to cooperate fully with the defence of any claims and acknowledge that WePlay reserves the right, at its sole discretion, to assume control of the defence and settlement of any matter subject to indemnification by the User. This indemnification obligation shall survive the termination or expiration of the User's access to the WePlay App or the termination of these Terms and Conditions.

23. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the Principality of Andorra, without regard to any conflict of law principles. Users expressly submit to the exclusive jurisdiction of the courts of Andorra for the resolution of any disputes, claims, or controversies arising out of or in connection with these Terms, the use of the WePlay App, or any associated services.

Prior to initiating formal legal proceedings, Users agree to make reasonable efforts to resolve disputes amicably by contacting the WePlay Organisation with detailed information regarding the nature of the dispute. The parties shall endeavour in good faith to resolve any disputes promptly through negotiation or alternative dispute resolution methods where appropriate.

Nothing in this section shall limit WePlay's right to seek injunctive or equitable relief in any competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights, or to prevent violations of these Terms and Conditions.

24. Miscellaneous Provisions

These Terms and Conditions constitute the entire agreement between Users and the WePlay Organisation concerning the subject matter herein and supersede any prior agreements, representations, or understandings, whether written or oral.

Suppose any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law. In that case, such provision shall be severed to the extent necessary, and the remaining provisions shall continue in full force and effect. The invalidity of a specific provision shall not affect the validity or enforceability of the remainder of the Terms.

No waiver by WePlay of any breach or default by a User shall be deemed a waiver of any preceding or subsequent breach. The failure of WePlay to enforce any provision shall not constitute a limitation of WePlay's right to enforce such provision at a later time.

These Terms are binding upon, and inure to the benefit of, the parties and their respective successors, assigns, and legal representatives. Users may not assign or transfer any rights or obligations under these Terms without the prior written consent of WePlay.

25. Language

These Terms and Conditions are originally drafted and executed in the English language. Any translations provided into other languages are supplied solely for the convenience of Users and are not legally binding. In the event of any discrepancy, inconsistency, or conflict between the English version and any translated version, the English version shall govern and prevail in all respects.

Users acknowledge and agree that the English version constitutes the authoritative text for all purposes, including interpretation, enforcement, and resolution of disputes. WePlay makes reasonable efforts to ensure that translated versions are accurate and up-to-date; however, Users accept that WePlay does not guarantee the accuracy, completeness, or reliability of any translation.
